In-house Counsel - Prime Brokerage Lawyer

Our client is a leading global financial institution who is seeking a Legal Counsel to join its EMEA legal team, supporting a broad Prime Services business.

The role offers exposure to a wide range of products, including cash and synthetic prime brokerage, securities lending, futures and options execution and clearing, and OTC derivatives clearing. Responsibilities include advising on client onboarding, product development, legal documentation, regulatory change and risk management across the business.

Requirements:

• Qualified lawyer from a leading law firm or an in-house institution with between 3-6 years' PQE.

• Experience in prime financial services, derivatives or broader FS regulatory work.

• Strong knowledge of UK and European financial services regulation.

• Excellent drafting, negotiation and stakeholder management skills.

The role would suit a derivatives lawyer who is looking to do more advisory work or a FS regulatory lawyer who would like to expand into markets related regulatory and derivatives work.

An established international investment firm is seeking an experienced lawyer to join its in-house legal team in a senior, commercially focused position.

The successful candidate will advise on a broad range of investment management and strategic commercial matters, working closely with senior stakeholders across the business.

Key Responsibilities

• Lead the negotiation and execution of complex investment management and commercial agreements.

• Structure, draft and negotiate documentation covering separately managed accounts, investment management mandates, bespoke fund vehicles, joint ventures and seeding arrangements, supporting the appointment of portfolio managers and deployment of investment capital.

• Advise on contractual, governance and regulatory matters relating to investment activities.

• Partner with investment professionals and senior management on key business initiatives.

• Manage legal risks and oversee multiple transactions in a fast-paced environment.

Key Requirements

• 10+ years' PQE gained at a leading law firm or within an investment management business.

• Strong background in investment funds, asset management or alternative investments.

• Experience advising on complex commercial agreements, fund structures and investment management arrangements.

• Knowledge of relevant financial services and securities regulation.

• Exposure to manager seeding, strategic investments or management company transactions would be advantageous.

• Excellent negotiation skills, commercial judgment and ability to operate independently.

A leading global asset manager is looking to hire a lawyer into their Wealth Management team. The role will appeal to a finance lawyer with experience across derivatives and financial markets, alongside an interest in broader banking and financing work.

You will advise on a varied range of transactions across the business, covering collateral, treasury and funding arrangements as well as lending, within an international and commercially focused environment.

Key responsibilities:

• Advising on derivatives transactions, including total return swaps and other financing and hedging products.
• Supporting collateral and margin arrangements, including triparty structures and related regulatory requirements.
• Advising on repo, securities lending and other financial markets transactions.
• Providing legal support on bond forwards and associated financing activity.
• Working on lending transactions and related finance documentation, including security arrangements.
• Advising on structured and cross-border financing, including associated collateral and risk mitigation structures.
• Supporting treasury and funding activities, working closely with internal stakeholders and international legal teams.

The ideal candidate will have:

• Around 8+ years' PQE, with flexibility for candidates with a different level of experience.
• Experience in derivatives or financial markets, together with a broader grounding in banking and finance.
• Familiarity with collateral arrangements and relevant transaction documentation.
• Strong commercial judgement and the ability to work directly with senior stakeholders.

Experience with ISDA, GMRA or GMSLA documentation, secured lending or private banking would be advantageous. UK-qualified lawyers or those with an equivalent common-law qualification will be considered.
