The team advises FTSE 100 companies, multinational corporates, and major private equity sponsors on high-value, complex cross-border transactions, public takeovers, joint ventures, and strategic carve-outs across multiple sectors.

The Role

• Running day-to-day workstreams on domestic and cross-border M&A transactions.

• Drafting and negotiating core transaction documents (SPAs, VPAs, shareholder agreements, and disclosure letters).

• Leading due diligence teams and managing specialist inputs (tax, regulatory, employment).

• Dealing directly with clients, target management teams, and counterparty counsel.

Requirements

• 2-4 years PQE within a well-regarded UK, US, or international corporate practice.

• Broad exposure to private M&A (public M&A or PE experience is a plus).

• Strong transactional discipline, sound commercial judgment, and confidence running deal mechanics.

The Role

• Executing complex cross-border M&A, JVs, farm-ins/farm-outs, and corporate restructurings in the energy and infrastructure space.

• Drafting and negotiating core commercial contracts (JOAs, off-take, concession agreements, and corporate deal docs).

• Managing multi-jurisdictional due diligence workstreams and mentoring junior associates.

• Directly advising IOCs, NOCs, infrastructure funds, and PE sponsors.

Requirements

• 3-6 years PQE at a top-tier UK, US, or international firm.

• Strong corporate M&A experience with a clear background in energy (oil & gas experience strongly preferred).

• Solid commercial acumen and comfortable taking a client-facing lead on transaction steps.
