Contract Lawyer - Loan-Linked Hedging & Deal-Contingent Trades (Investment Banking Client)
We are working with a top-tier Investment Banking client to source an experienced Markets Lawyer for a strategic, deal-driven legal support.
This contract position is ideal for a lawyer with deep expertise supporting loan-linked hedging solutions, deal-contingent derivative trades, and the full transaction documentation lifecycle surrounding these structured products.
Key Focus Areas
In this role, you will support high-value, complex trading activity, including:
Providing legal review and negotiation support for loan-linked hedging and Corporate Solutions derivative trades
Advising on and executing deal-contingent / event-driven trades, including Deal-Contingent FX and interest rate hedges
Reviewing Share Purchase Agreements (SPA/SPAs) specifically from a derivatives structuring perspective to ensure alignment with:
Hedge trigger events
Conditional trade mechanics
Counterparty risk considerations
Deal contingency clauses impacting trade execution
Supporting Deal-Contingent trade approvals, documentation, and risk escalation processes
Collaborating closely with front-office, structuring, legal, risk and documentation teams to enable seamless execution of contingent hedging strategies
Drafting, reviewing and advising on ancillary documentation related to structured hedging, financing and M&A-linked derivative transactions
What We're Looking For
The successful candidate will bring:
Qualified Lawyer with Investment Banking, Capital Markets, or Structured Derivatives experience
Proven expertise in:
Loan-linked hedging
Deal-contingent / deal-triggered derivative trades
Deal-Contingent FX / Rates hedging mechanics
Reviewing SPA documentation in connection with contingent derivative execution
Strong understanding of regulatory, risk and commercial considerations for contingent trades
Ability to work autonomously in a fast-moving, transaction-intense environment
Excellent stakeholder management with front-office trading and structuring teams
